1. Definitions
In these Terms and Conditions, the following terms carry the meanings assigned below:
"synaptena", "we", "us", or "our" refers to synaptena, an AI consultancy operating from 14 Jalan Pantai Dalam, 59200 Kuala Lumpur, Malaysia.
"User", "you", or "your" refers to any individual or entity that accesses our website or engages our services.
"Services" refers to the AI consultancy offerings provided by synaptena, including but not limited to fraud detection systems, AI chatbot development, and data anonymization.
"Agreement" refers to these Terms and Conditions together with any project-specific proposals or statements of work.
2. Acceptance of Terms
By accessing or using our website, or by engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please refrain from using our website or services.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services. If you are acting on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
3. Description of Services
synaptena provides artificial intelligence consultancy and development services for businesses. Our current offerings include fraud detection systems, AI chatbot development, and data anonymization services. Detailed descriptions of each service are available on our Solutions page.
Service scope, deliverables, timelines, and pricing are defined in individual project proposals provided prior to engagement. These proposals, once accepted by both parties, form part of this Agreement.
4. Engagement Process
All service engagements follow a structured process. It begins with an initial consultation where we discuss your requirements. Following this, we prepare a project proposal outlining scope, deliverables, timeline, and fees. Work commences only after you have reviewed and accepted the proposal in writing.
Changes to the agreed scope may be requested by either party and will be documented in a written change order. Adjustments to fees or timelines resulting from scope changes will be communicated and agreed upon before implementation.
5. User Responsibilities
When using our website, you agree not to: attempt to gain unauthorised access to any part of the website or its systems; use the website for any unlawful purpose; copy, reproduce, or redistribute any content without our written permission; introduce malicious software or code; or misrepresent your identity or affiliation.
During a service engagement, you agree to provide accurate and complete information as reasonably requested, make timely decisions and approvals to facilitate progress, ensure that any data shared with us has been collected and shared in compliance with applicable laws, and designate a primary contact person for project communications.
6. Intellectual Property
All content on our website — including text, graphics, logos, and design elements — is the property of synaptena and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without written permission.
For service engagements, intellectual property ownership of deliverables will be specified in the project proposal. Unless otherwise stated, upon full payment, clients receive a licence to use the deliverables for their intended business purposes. synaptena retains the right to use general methodologies, tools, and knowledge gained during the engagement for future projects, provided no confidential information is disclosed.
Pre-existing intellectual property brought into a project by either party remains the property of that party.
7. Payment Terms
Fees for our services are quoted in Malaysian Ringgit (RM) and are outlined in individual project proposals. Payment schedules are agreed upon before work begins and typically involve a deposit at project commencement with the balance due upon delivery of final deliverables.
Invoices are payable within 14 days of issuance unless otherwise agreed. Late payments may attract a reasonable late fee as specified in the project proposal. We reserve the right to pause work on a project if payments are overdue by more than 30 days.
Refund requests are evaluated on a case-by-case basis. If work has not yet commenced, deposits may be refundable. Once deliverables have been partially or fully completed, refunds are at our discretion and will account for work already performed.
8. Confidentiality
Both parties agree to treat as confidential any information marked as such, or that would reasonably be considered confidential given its nature. This includes business data, technical specifications, datasets, and project details shared during an engagement.
Confidential information will not be disclosed to third parties without the disclosing party's prior written consent, except where required by law or where disclosure is necessary for authorised subcontractors who are bound by equivalent confidentiality obligations. These confidentiality obligations survive the termination of an engagement.
9. Disclaimers
Our website and services are provided on an "as is" and "as available" basis. While we endeavour to deliver high-quality work and maintain an accurate website, we do not make representations or warranties of any kind, whether express or implied, regarding the completeness, accuracy, or reliability of any content or service.
AI systems, by their nature, involve probabilistic outputs. We do not warrant that any AI model, chatbot, or detection system will achieve specific performance benchmarks in all circumstances. Model performance depends on data quality, operational context, and numerous other factors.
Nothing on our website constitutes professional legal, financial, or medical advice. Content is for general informational purposes only.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, synaptena's total liability arising from or in connection with any service engagement shall not exceed the total fees paid by you for the specific service giving rise to the claim.
We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of data, business interruption, or reputational harm, even if we have been advised of the possibility of such damages. Neither party shall be held liable for failure to perform obligations caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
11. Indemnification
You agree to indemnify and hold harmless synaptena, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our website or services, your breach of these terms, your violation of any applicable law, or any data you provide to us that infringes third-party rights.
12. Termination
Either party may terminate a service engagement by providing written notice as specified in the project proposal. In the absence of specific termination provisions, either party may terminate with 14 days' written notice.
Upon termination, you will be invoiced for all work completed up to the termination date. Deliverables completed and paid for will be transferred to you. Incomplete work may be delivered in its current state at our discretion. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
13. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with these terms or our services shall first be addressed through good-faith negotiation between the parties.
If a dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur. If mediation is unsuccessful, the dispute may be submitted to the courts of Malaysia, which shall have jurisdiction.
14. General Provisions
Entire Agreement: These Terms, together with any project proposals and the Privacy Policy, constitute the entire agreement between you and synaptena.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. synaptena may assign its rights and obligations to a successor entity.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes become effective when the updated Terms are posted on our website with a revised "Last Updated" date. Continued use of our website or services after changes have been posted constitutes acceptance of the revised Terms. For material changes affecting ongoing engagements, we will provide direct notice.
